Nike’s corporate structure has separated the roles of Board of Directors and Chairman of the Board. The Board’s current standing committees are an Audit Committee, a Compensation Committee, a Nominating and Corporate Governance Committee, a Finance Committee, a Corporate Responsibility and Sustainability Committee, and an Executive Committee. The CEO, Mark Parker, is on the Executive Committee, which acts in place of the full Board only for emergency issues.
Management has provided certifications for Internal Control and Financial Statements, which have been reviewed by CEO, CFO, and Price Water House Coopers. There are no exceptions in the certifications.
